Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Vinyl Exchange (the “Service”), operated by Virtu Studios LLC (“we,” “us,” or “our”). By creating an account, listing an item, or making a purchase, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

Vinyl Exchange is a marketplace that lets people buy and sell vinyl records, CDs, and related music media, both peer-to-peer and through connected record shops. We provide the platform that connects buyers and sellers and facilitates payment. We are not a party to the transaction between a buyer and a seller, do not take custody of items, and do not guarantee the quality, safety, legality, or accuracy of any listing.

2. Eligibility & accounts

You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for the activity under your account and for keeping your credentials secure. You agree to provide accurate information and to keep it up to date. We may suspend or terminate accounts that violate these Terms.

3. Buying

When you purchase an item, you agree to pay the listed price plus any shipping and applicable taxes. Payment is processed through our payment provider, Stripe. The contract of sale is between you and the seller. Sellers are responsible for describing items accurately, including media and sleeve condition (graded on the Goldmine/Discogs scale), and for shipping items as described.

4. Selling

• You may only list items you own and have the right to sell. Listings must be accurate and not misleading, including condition, pressing, and photos of the actual item where required.
• To receive payouts you must complete onboarding with our payment provider, Stripe, and create a connected account. Payouts, identity verification, and bank details are handled by Stripe under its own terms.
• You are responsible for fulfilling orders promptly, for shipping and any tracking, and for handling returns and refunds in line with these Terms and your own stated policies.
• You are responsible for determining and remitting any taxes arising from your sales.

5. Fees

Creating an account and listing items is free. When an item sells, we charge a platform fee of 8% of the sale (the “Platform Fee”), collected automatically through Stripe as an application fee on the transaction. Payment processing is handled by Stripe. We may change our fees prospectively; changes will be posted here and will not affect completed sales.

6. Prohibited items & conduct

You agree not to list, sell, or use the Service for:

• Counterfeit, bootleg, or unauthorized reproductions, or any item that infringes another party’s intellectual property.
• Stolen goods or items you do not have the right to sell.
• Anything illegal, or any activity that is fraudulent, deceptive, or harmful to other users or to us.
• Circumventing the Service to complete transactions off-platform in order to avoid the Platform Fee.

7. Refunds, returns & disputes

Sellers may issue refunds through the order page; a refund reverses the transaction, including the Platform Fee, and the item may be relisted. Buyers and sellers should first attempt to resolve issues directly. We may, at our discretion, assist with disputes, but we are not obligated to and are not responsible for the outcome of any transaction. Chargebacks are handled under Stripe’s terms.

8. Content you provide

You retain ownership of the listings, photos, and other content you submit, but you grant us a worldwide, non-exclusive, royalty-free license to host, display, and use that content to operate and promote the Service. You are responsible for having the rights to any content you upload.

9. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, to the fullest extent permitted by law. We do not warrant that listings are accurate, that items are as described, or that the Service will be uninterrupted or error-free.

10. Limitation of liability

To the fullest extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss arising out of a transaction between a buyer and a seller. Our total liability for any claim relating to the Service will not exceed the greater of the Platform Fees you paid to us in the twelve months before the claim or USD $100.

11. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms or if we discontinue the Service.

12. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will update the “Last updated” date above and, where appropriate, notify you. Your continued use of the Service after changes take effect constitutes acceptance.

13. Governing law

These Terms are governed by the laws of the Commonwealth of Virginia, United States, without regard to conflict-of-law rules. Any disputes will be resolved in the state or federal courts located in Virginia, unless applicable law requires otherwise.
